With a deep understanding of their businesses and objectives, Andrew works closely with each of his clients to achieve their strategic and operational goals, while taking a practical, client-focused approach.
Clients seek Andrew’s counsel on a variety of business matters throughout their life cycle, with an emphasis on:
- Strategic transactions, including M&A, joint ventures, and restructurings;
- Capital raising and financing transactions, including private equity transactions, venture capital investments, and debt financings;
- General corporate counsel, including contract negotiations, licensing agreements, corporate governance, employment issues, intellectual property issues, and general business planning matters;
- Corporate formation matters for emerging businesses; and
- International business transactions.
Andrew’s clients span a wide range of industries, including hospitality, real estate, fashion, luxury and retail, consumer products, private equity, venture capital, financial services, and technology. In addition, Andrew has significant experience representing foreign companies, in both Europe and Asia, in their U.S. and international business activities.

Representation of Pendulum, a strategic growth investing and advisory platform designed for founders and leaders of color, in a deal that raised $45 million in funding for Greenwood, Inc., the digital banking platform for Black and Latino individuals and businesses.
Representation of Pendulum, a strategic growth investing and advisory platform designed for founders and leaders of color, in a deal that raised $35 million in Series B funding for Saltbox, Inc., the flexible co-warehousing and small business logistics pioneer.
Representation of L Catterton, the largest global consumer-focused private equity firm, in the acquisition of Taxa Outdoors, a manufacturer of lightweight, mobile habitats for outdoor adventure. The investment enabled Taxa to drive growth by broadening its distribution and expanding its product offerings to reach more people looking for unique outdoor experiences.

Served as primary counsel to LVMH Moet Hennessy Louis Vuitton in its $650 million sale of Donna Karan International to G-III Apparel Group, Ltd., a publicly-traded company.
Served as primary counsel to LVMH Moet Hennessy Louis Vuitton in its acquisition of the Hotel Saint-Barth Isle de France, a 5-star hotel located on the Caribbean Island of St. Barthémy.
Serve as counsel to L Catterton, the largest consumer-focused private equity group in the world, in connection with its growth investments in leading consumer brands, including recent investments in NotCo, Hydrow, FlashParking, ThirdLove, ClassPass, and Il Makiage.
Serve as primary counsel to L Catterton Real Estate, which invests in luxury retail-driven, mixed-use real estate developments, in connection with its investments in North American projects, including Miami Design District (Miami), Royalmount (Montreal), and The Amazing Brentwood (Vancouver).
After assisting in the launch of Pendulum, an inclusive and strategic advisory and growth investment platform founded by Robbie and D’Rita Robinson, Andrew serves as principal outside counsel to Pendulum.
Representation of Assembled Brands – the company that finances emerging consumer goods brands – in a deal that secured $100 million in permanent capital from funds managed by Oaktree Capital Management, L.P. Assembled Brands will use the funds to finance the next generation of consumer goods brands and to continue the development of its proprietary underwriting technology.
Representation of Getaway – an outdoor and wellness focused hospitality company – in a deal that secured $22.5 million in Series B financing. The round was led by a controlled affiliate of Starwood Capital Group, with continued support from L Catterton and other existing shareholders.
Representation of Getaway – an outdoor and wellness focused hospitality company – in a deal that secured $41.7 million in Series C financing. The round was led by Certares, with continued support from L Catterton, Starwood Capital Group, and other existing shareholders.
