Elise A. Gramlich

Elise is a corporate attorney who guides companies and private equity sponsors through complex transactions and governance challenges with precision, strategic insight, and a steady command of high-stakes organizational and regulatory matters.

Elise focuses her practice on complex corporate and transactional matters, representing both public and private companies along with private equity sponsors. Her work spans mergers and acquisitions, corporate governance, reorganizations, and capital markets matters. Elise conducts comprehensive due diligence, prepares disclosure schedules, and coordinates specialist reviews to streamline transactions and address key issues efficiently.

She has experience drafting core transaction documents, including merger agreements, governance instruments, and regulatory filings for subsidiary mergers and dissolutions in Delaware and Texas. Elise also has experience supporting clients through post-closing integration, preparing closing deliverables for multibillion-dollar transactions, and assisting in shareholder activism matters by analyzing defense preparedness materials, public market disclosures, and shareholder agreements.

Prior to joining Barack Ferrazzano, Elise was an associate in the M&A and Private Equity group of Sidley Austin’s Chicago office, where she focused her practice on public and private mergers and acquisitions and corporate governance matters.
