Overview

The Barack Ferrazzano Financial Institutions Group served as legal counsel to Heritage Financial Corporation (“Heritage”) (Nasdaq: HFWA) in its acquisition of Olympic Bancorp, Inc. (“Olympic”) and its subsidiary, Kitsap Bank. The acquisition was completed on January 31, 2026.

Each share of Olympic capital stock was exchanged for 45.0 shares of Heritage common stock, with Heritage issuing approximately 7,167,600 shares of its common stock as consideration in the transaction.

Heritage Financial Corporation is a bank holding company headquartered in Olympia, Washington. Heritage Bank operates branches throughout Washington, Oregon, and Idaho, providing banking services to businesses and consumers.

Barack Ferrazzano’s legal team was led by Joseph T. Ceithaml, co-chair of the Financial Institutions Group, and associate Zoe Xiuha Uvin. Executive compensation and benefits matters were handled by partner Andrew K. Strimaitis, employment matters by partner Corwin J. Carr, and tax matters by partners Michael J. Towne and Megan E. Toal.
