Our attorneys routinely deal with our extensive client base on a myriad of corporate projects and corporate governance issues. We have robust experience dealing with boards of directors that are guided by in-house legal teams, as well as clients who do not have in-house counsel. Because of this, we generally will have had substantial experience with most corporate issues that a financial institution, a holding company, or its subsidiaries would encounter. We find that the combined perspectives of our corporate attorneys and our regulatory attorneys are extremely helpful in counseling boards and management as they consider the proper path to follow.

We have worked with clients on updating their primary corporate documents, such as their articles of incorporation and bylaws, as well as other governance documents, including committee charters, codes of ethics/conduct and other corporate policies and procedures. We also advise boards of directors, committees of the board, and management teams with respect to a wide variety of corporate governance and industry regulatory matters affecting both public and private banking clients, including director and officer responsibilities and fiduciary duties, stock exchange standards, and internal investigations.

We also have extensive experience advising financial institutions with regard to their contractual relationships with third party vendors. While we are positioned to provide support on discrete vendor issues and projects, we are also often engaged to provide in depth support. In the past decade we have been frequently and increasingly engaged to review and negotiate core processing agreements with the large, national providers. Our familiarity with the vendors’ forms and processes allows us to achieve meaningful improvements in both contractual terms and the vendor relationship overall. As regulators have taken an increasing interest in vendor management, we have also developed and provided education, support, and tools for our clients to bolster their vendor management programs.
