- Guide over two dozen bank clients (with assets ranging from $200m to over $10 billion) through partnerships with FinTech companies and in connection with providing banking-as-a-service products.
- Structure and negotiate partnerships and related agreements between banks and digital wallet providers, cryptocurrency sub-custodians, lenders, blockchain and cryptocurrency infrastructure companies, payments companies, BaaS middleware, software, and marketplace companies, robo-advising and wealth management companies, credit scoring businesses, and other technology companies.
- Negotiate and draft, at least annually, dozens of software licenses, program management agreements, FinTech partner agreements, and related commercial contracts.
- Prepare treasury management agreements, payment processing agreements, terms of service and terms of use, wire agreements, ACH agreements, DDA and other account agreements, compliance policies and procedures, business plans, regulatory correspondence, breach notices, and related documents for community bank clients.
- Guide banks ($1 billion-$10 billion) in developing banking-as-a-service programs, including by designing compliance and risk programs, operationalizing payment network rules, negotiating partnerships, and overseeing ongoing compliance efforts.
- Represent bank clients in front of, advocate for innovative product offerings to, and secure approvals from state and federal financial regulators for community bank clients across the country.
- Provide regulatory advice and counseling to community bank clients on issues ranging from general contracting, card network rules and PCI-DSS, FDIC insurance (including pass-through insurance rules), safety and soundness and compliance exams, annual examinations, BSA audits, commercial and consumer lending, loan servicing, loan sales, real-time, and faster payments, permissible investments, the UCC, and every regulation from Reg A to Reg.
- Advised bank management, compliance officers, and boards of directors regarding cryptocurrency products and partnerships for more than a dozen bank clients (with asset sizes ranging from $200 million to $10 billion).
- Counseled Fortune 500 company about partnerships with NFT platforms and development partnerships.
- Advised tech unicorn about the creation and integration of proprietary token product into sales platform.
- Assisted bank ($500 million) in developing multi-party signature product and operations to support a cryptocurrency qualified custodian offering.
- Counseled bank clients ($500million-$10 billion) in connection with approximately a dozen investments in technology-focused venture funds.
- Assisted banks with the development of proprietary software products.
