Barack Ferrazzano has been one of the most active law firms in the Midwest and in several states across the country in representing de novo banks and their organizing groups on a broad range of topics at every stage of a bank’s life cycle.  Over the past fifteen years, we have assisted over 100 de novo banks with their formation, organizational structures and public and private capital raising activities.  Because of our firm’s extensive experience in the establishment of de novo banks, we are particularly well-suited to handle the unique issues faced by new banks in their first several years of operation, including regulatory and enforcement matters, market expansion, secondary stock offerings and formation of holding companies.

In addition to the preparation of applications and related regulatory filings, we are also able to efficiently address during the formation process related issues that often arise, including trademark/trade name registration, real estate transactions, vendor contracts, employee benefits matters, organizational structure, strategic planning and corporate governance, among others.  We believe that our broad range of experience in this area, coupled with the sheer number of our de novo bank clients, makes us a valuable resource to our clients during every phase of the formation process and in the early years of operations.  Our goal is to build a long term, mutually beneficial relationship that our clients can rely on as they grow and develop.

  • Counsel to over 100 state and national de novo banks and bank holding companies across the country.  The breadth of our practice has yielded a unique ability among our lawyers to gain familiarity with the laws and bank regulatory agencies of multiple jurisdictions throughout the United States.
  • Establishment of the first Illinois state bank organized as a limited liability company. 
  • Formation of special focus and “ethnic” de novo banks, including those with principal Asian, Hispanic and Greek ownership. 
  • Counsel to existing regional bank holding companies in the formation of their multiple, community-owned, de novo banks.
  • Issuer’s and underwriter’s counsel in connection with initial public offerings and secondary common stock offerings of de novo bank holding companies.

Members of Barack Ferrazzano’s de novo bank practice regularly speak about issues facing de novo banks at conferences and seminars across the country sponsored by the firm, bankers associations and other service organizations.  A number of these attorneys also teach banking law at various local law schools, including Northwestern Law School in Chicago.
