Alex counsels public and private companies and executives on all aspects of executive compensation and employee benefits matters.

As an associate in BFKN’s Compensation & Benefits Group, Alex focuses his practice on advising on the design, negotiation, and implementation of executive incentive arrangements and the negotiation of executive employment, transition, and separation agreements. Alex also regularly advises clients on executive compensation and employee benefit aspects of public filings (including annual proxy statements and Form 8-K disclosures), mergers and acquisitions, and venture capital investments.

Prior to joining BFKN, Alex was an Executive Compensation associate at Kirkland & Ellis.

Counseling

  • Executive Incentive and Employment Arrangements. Alex advises public and private companies and executives on the design, negotiation, and implementation of various equity and non-equity incentive arrangements (including equity incentive plans, phantom equity plans, and deferred compensation plans) and the negotiation of executive employment, transition, and separation agreements.
  • SEC Disclosures. Alex counsels more than a dozen publicly traded companies on the compensation-related disclosures included in annual proxy statements, annual and quarterly reports (i.e., Form 10-K and 10-Q filings), and periodic reports (i.e., Form 8-K filings).

Transactions

  • Mergers & Acquisitions. Alex has counseled public and private companies in over 120 mergers & acquisitions with an aggregate value of over $30 billion, including leading financial services, luxury goods, software, and insurance companies.
  • Venture Capital. Alex has supported venture capital investors in navigating a variety of executive compensation and benefits issues in numerous eight-figure single- and multi-investor Series A, B, C, and D investments, including in the sustainable food, pet, healthcare, and outdoor recreation industries.
