Client Alert: Jobs Act Impacts SEC Registration

On April 5, 2012, President Obama signed into law the Jumpstart Our Business Startups Act (the “JOBS Act”).  The JOBS Act significantly impacts the registration of many banks and bank holding companies with the Securities and Exchange Commission (the “SEC”).  The SEC issued guidance on April 11, 2012 indicating that many of the changes affecting registration are effective immediately, despite the need for future amendments to conform existing SEC rules with the JOBS Act.
